Welcome to MGJ Digital. By accessing or using our website, services, or products, you agree to be bound by the following Terms of Service. Please read them carefully before using our site.

These Terms of Service (“Terms”) govern your access to and use of the websites, services, and related offerings provided by MGJ Digital, LLC (“MGJ Digital”, “we”, “us”, or “our”), including but not limited to our website, AI-native revenue systems, websites and landing pages we design, automation setups, and related consulting services (collectively, the “Services”).
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
1. Eligibility
You may use the Services only if you:
Are at least 18 years old (or the age of majority in your jurisdiction), and
Have the legal capacity to enter into a binding contract, and
Are using the Services on your own behalf or on behalf of a business you are authorized to represent.
If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
2. Services We Provide
MGJ Digital is an AI-native revenue studio providing, among other things:
Brand and visual design (brand identity, social media visuals, websites & landing pages, creative direction)
Systems and automation (CRM/backend setups, tool integrations, internal automations, workflows, analytics dashboards, client onboarding workflows)
Growth and campaigns (offer and funnel strategy, email and SMS workflows, lead generation systems, paid ad campaigns, retention and reactivation)
AI agents and assistants (AI site concierges, lead-qualifying agents, sales follow-up agents, internal assistant agents)
Specific scope, deliverables, and timelines for any engagement will be set out in a separate proposal, statement of work (“SOW”), order form, or agreement (collectively, “Engagement Agreement”). In the event of any conflict between these Terms and an Engagement Agreement signed by both parties, the Engagement Agreement will prevail with respect to that project.
3. Client Responsibilities
You agree to:
Provide accurate, complete, and timely information necessary for us to deliver the Services.
Supply required assets (e.g., logos, brand guidelines, copy, images, legal disclaimers) and access to tools (e.g., CRM, ad accounts, analytics tools, domain/DNS) in a timely manner.
Review and approve deliverables within a reasonable timeframe. Delays in feedback or approvals may impact timelines and are not the responsibility of MGJ Digital.
Ensure that any content, data, or instructions you provide do not infringe third-party rights and comply with applicable laws and regulations.
You remain responsible for your own compliance, including with industry regulations (e.g., advertising standards, privacy laws, sector-specific regulations).
4. Fees, Payments, and Subscription Terms
4.1 Fees
Our fees, billing frequency, and payment terms will be outlined in the applicable Engagement Agreement or subscription plan (e.g., monthly retainers, one-time project fees, performance-based fees).
4.2 Payment Terms
Unless otherwise stated in writing:
Invoices are due upon receipt and payable within the timeframe specified on the invoice.
Late payments may be subject to interest charges or late fees as permitted by applicable law.
We may suspend or terminate Services if payments are overdue.
4.3 Subscriptions
If you enroll in a recurring subscription (e.g., monthly revenue studio package):
Your subscription will automatically renew at the end of each billing cycle unless cancelled in accordance with the cancellation terms in your plan.
You authorize us or our payment processor to charge your payment method on a recurring basis until you cancel.
4.4 Taxes
All fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable sales, VAT, GST, or other taxes, except for taxes based on our net income.
5. Intellectual Property
5.1 MGJ Digital IP
We (and our licensors) retain all rights, title, and interest in and to:
Our proprietary methodologies, frameworks, AI systems, templates, scripts, and internal tools;
Our trademarks, logos, and brand elements;
Any concepts, know-how, and techniques used or developed in the course of providing the Services.
Except as expressly granted, no rights are transferred or licensed to you by implication or otherwise.
5.2 Client IP
You retain all rights to your pre-existing content, brand assets, trademarks, and data that you provide to us (“Client Materials”). You grant MGJ Digital a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display Client Materials solely for the purpose of delivering the Services and, if you approve in writing, for portfolio and marketing purposes.
5.3 Deliverables
Ownership of final deliverables (e.g., design files, web builds, automation setups) will be governed by your Engagement Agreement. Typically:
Upon full payment of all fees due, you receive a license or ownership rights to use the final deliverables for your business operations.
MGJ Digital may retain the right to showcase non-confidential deliverables in our portfolio, case studies, and marketing, unless otherwise agreed in writing.
6. Use of AI and Third-Party Tools
Our Services frequently leverage AI technologies, third-party platforms, and integrations (e.g., CRM systems, email service providers, analytics tools, ad platforms).
You acknowledge and agree that:
Certain outputs may be generated or assisted by AI systems. While we aim for high accuracy and relevance, AI outputs may not be error-free or fit for every purpose.
Third-party platforms and tools are subject to their own terms and policies. You are responsible for complying with those terms and maintaining your own accounts where applicable.
We are not liable for outages, changes, or limitations imposed by third-party services, nor for their security practices or data handling beyond our reasonable control.
7. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party that is marked or reasonably understood to be confidential (“Confidential Information”).
Confidential Information does not include information that:
Is or becomes publicly available through no fault of the receiving party;
Was lawfully known to the receiving party before disclosure;
Is independently developed without use of the other party’s Confidential Information;
Is rightfully received from a third party without duty of confidentiality; or
Must be disclosed under law, regulation, or court order (in which case, the receiving party will, where legally permitted, provide prompt notice).
Confidentiality obligations will survive termination of the Services for a reasonable period, typically three (3) years or as specified in an Engagement Agreement.
8. Data, Privacy, and Security
We may process certain data, including contact information, analytics data, and customer interaction data, in order to deliver and improve our Services.
We will handle personal data in accordance with applicable data protection laws and any separate data processing agreements agreed between us.
You are responsible for obtaining any necessary consents and providing required notices to your own customers and users, especially in relation to marketing communications, tracking, and AI-driven interactions.
While we adopt reasonable security measures appropriate to our Services, no method of transmission or storage is 100% secure. You acknowledge this inherent risk.
9. Marketing & Portfolio Use
Unless otherwise agreed in writing:
You grant MGJ Digital the right to reference your company name, logo, and non-confidential project summaries in our marketing materials, website, and case studies.
We may showcase visuals, anonymized metrics, and high-level outcomes to demonstrate our capabilities, provided that sensitive or proprietary information is not disclosed without your consent.
If you require restrictions (e.g., NDA or stealth mode), these must be agreed upon in writing prior to or at the start of the engagement.
10. Disclaimers
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.
MGJ Digital does not guarantee:
Any specific revenue, profit, or performance outcomes;
That campaigns or systems will achieve particular KPIs;
That AI or automation outputs will be free from error, bias, or interruption.
You acknowledge that business performance depends on many factors outside our control (e.g., market conditions, competition, pricing, operations, your internal execution). Our role is to provide expert strategy, design, implementation, and optimization—not to underwrite business risk.
11. Limitation of Liability
To the maximum extent permitted by law:
MGJ DIGITAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO MGJ DIGITAL FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes liability that cannot be excluded under applicable law (such as for fraud or willful misconduct).
12. Indemnification
You agree to indemnify, defend, and hold harmless MGJ Digital and our directors, officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
Your use of the Services in violation of these Terms or applicable law;
Any content, data, or materials you provide (including Client Materials) that infringe any third-party rights;
Your marketing, sales, or operational practices that use or rely on our deliverables.
13. Term, Suspension, and Termination
13.1 Term
These Terms apply from the moment you first access or use our Services and continue until terminated as described herein.
13.2 Suspension
We may suspend or limit your access to the Services if:
You fail to pay any amounts due;
You use the Services in a manner that violates these Terms or applicable law;
Your use risks harm to us, other clients, or third parties.
13.3 Termination
Either party may terminate an ongoing engagement as set out in the applicable Engagement Agreement or subscription terms. Termination does not relieve you of the obligation to pay any fees owed up to the effective date of termination.
Upon termination:
Your right to access the Services (e.g., ongoing retainers, support, or hosted components) will cease, except for any perpetual licenses specifically granted.
Certain sections of these Terms, including those relating to payment, intellectual property, confidentiality, disclaimers, and limitations of liability, will survive termination.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, business, or legal obligations. When we make material changes, we will update the “Last updated” date at the top of this document and may provide additional notice where appropriate.
Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
15. Governing Law and Dispute Resolution
These Terms will be governed by and construed in accordance with the laws of the jurisdiction in which MGJ Digital, LLC is registered, without regard to conflict-of-law principles.
Any disputes arising out of or relating to these Terms or the Services will first be addressed through good-faith negotiations between the parties. If the dispute cannot be resolved informally within a reasonable period, it may be submitted to the courts of that jurisdiction, unless otherwise agreed in writing (e.g., via arbitration clause in an Engagement Agreement).
16. Miscellaneous
Independent Contractor: MGJ Digital operates as an independent contractor, not as your employee, partner, or joint venture.
Entire Agreement: These Terms, together with any applicable Engagement Agreements, constitute the entire agreement between you and MGJ Digital regarding the Services.
Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
